Terms and Conditions for Oath Performance

Effective Date: November 03, 2025

 

These Terms and Conditions ("Terms") govern your access to and use of the website www.oathperformance.com (the "Site"), mobile applications, and all related services (collectively, the "Services") provided by Oath Performance LLC ("Oath," "we," "us," or "our"), a company specializing in fitness, nutrition, and wellness coaching for first responders and military personnel.
 

By accessing the Site, creating an account, purchasing any product or subscription, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

 

1. EligibilityYou must be at least 18 years old and legally capable of entering into contracts to use the Services. By using the Services, you represent that you meet these requirements.

 

2. Account Registration

  • You must create an account with accurate, complete information.

  • You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.

  • Notify us immediately at support@oathperformance.com (mailto:support@oathperformance.com) of any unauthorized use.

3. Services Overview

 

Oath provides:

  • One-on-One Coaching: Virtual or in-person consultations.

  • Subscription Programs: Monthly or bundled access to workout plans, meal guides, video libraries, live sessions, and community forums.

  • One-Time Purchases: Digital downloads, merchandise, workshops, or single-session packages.

  • Free Resources: Limited public content (e.g., blog, sample workouts).

 

All coaching is educational and motivational — not medical advice. Consult a physician before starting any program.

 

4. Payment Terms

  • Currency: All prices in USD.

  • Taxes: You are responsible for applicable sales, use, or VAT taxes.

  • Payment Processor: We use Stripe or similar PCI-DSS-compliant processors. We do not store full card details.

  • Failed Payments: Access may be suspended until resolved. A $25 reprocessing fee may apply.

 

5. Refund and Cancellation Policy

 

A. One-Time Purchases

 

All one-time purchases are NON-REFUNDABLE (including but not limited to digital products, merchandise, single consults, or workshops) unless:

  • The product is defective and cannot be replaced within 48 hours, or

  • Required by law (e.g., EU 14-day cooling-off for digital content not yet accessed).

 

B. Subscriptions

  • Monthly Subscriptions: Cancel anytime with 30 days’ written notice via email to billing@oathperformance.com (mailto:billing@oathperformance.com). You will retain access until the end of the current billing cycle. No prorated refunds.

  • Multi-Month Bundles / Promotional Commitments: If a discounted rate requires a minimum term (e.g., 3, 6, or 12 months), early cancellation incurs a termination fee equal to 50% of the remaining balance unless otherwise stated at purchase.

  • Annual Plans: May be paid upfront or monthly. Upfront annual plans are non-refundable after 14 days. Monthly-billed annual commitments follow the multi-month rule above.

C. Exceptions

  • Service Not Delivered: Full refund if we fail to provide contracted sessions within 60 days (excluding client no-shows).

  • Medical Hardship: Refunds or pauses considered case-by-case with physician documentation.

 

Refunds, when issued, are processed within 10 business days to the original payment method.

 

6. Client Responsibilities

  • Health Disclosure: You must fully disclose medical conditions, injuries, or contraindications before starting. Failure to do so voids our liability.

  • Participation: Results depend on your effort. No guarantees of outcomes.

  • Session No-Shows: Missed consults without 24-hour notice are forfeited. Rescheduling allowed once per session.

  • Conduct: Abusive, discriminatory, or disruptive behavior may result in immediate termination without refund.

 

7. Intellectual Property

  • All content (workouts, meal plans, videos, logos, software) is owned by Oath or licensed to us.

  • License: You receive a limited, non-transferable, revocable license to access subscribed content for personal, non-commercial use.

  • Prohibited: Copying, distributing, modifying, or creating derivative works without written permission.

 

8. User Content

  • You may upload progress photos, logs, or testimonials.

  • You grant Oath a perpetual, royalty-free license to use, display, or feature your content (anonymized unless you consent to attribution).

  • You warrant that your content does not violate third-party rights.

 

9. Disclaimers

  • No Medical Treatment: Our coaches are certified but not physicians. We do not diagnose, treat, or prescribe.

  • Assumption of Risk: Physical activity carries inherent risks. You participate at your own risk.

  • Third-Party Links: We are not responsible for external sites or services.

 

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

 

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Oath is not liable for indirect, incidental, or consequential damages (e.g., injury, lost income).

  • Total liability shall not exceed the amount you paid in the 12 months prior to the claim.

  • Some jurisdictions do not allow these limitations — they may not apply to you.

 

11. Termination

  • By You: Close your account anytime (subscriptions follow cancellation rules).

  • By Us: We may suspend or terminate access immediately for breach of Terms, non-payment, or safety concerns, without refund.

 

12. Dispute Resolution (Arbitration)

  • Governing Law: Laws of the State of Florida, USA (without regard to conflicts of law).

  • Informal Resolution: Contact us first at legal@oathperformance.com (mailto:legal@oathperformance.com).

  • Arbitration: Any dispute not resolved informally will be settled by binding arbitration in Manatee County, FL under AAA rules. No class actions. You waive jury trial rights.

  • Exceptions: Small claims court or IP infringement claims may be filed in court.

 

13. Force Majeure

 

We are not liable for delays due to events beyond our control (e.g., natural disasters, pandemics, internet outages).

 

14. Modifications to Terms

 

We may update these Terms. Material changes will be:

  • Posted on the Site with a new "Effective Date."

  • Emailed to active users 30 days in advance.

Continued use after changes constitutes acceptance.
